1. About these terms

These Terms and Conditions ("Terms") govern your use of the Gold Reviews platform ("Service") operated by TMH Group Australia Pty Ltd ("we", "us", "our"). By signing up for or using the Service, you agree to be bound by these Terms.

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Gold Reviews is a review management platform that helps businesses collect and respond to Google reviews. The Service includes:

You must be at least 18 years old and hold a valid Australian Business Number (ABN) or be operating a legitimate business in Australia to use the Service.

4. Your account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

5. Fair use policy

5.1 Monthly job limits

Each subscription plan includes a monthly job allocation. The Founding Member plan includes up to 100 jobs per month. A "job" is defined as one customer record submitted to the Service for review request processing.

5.2 What counts as a job

Each unique customer submission counts as one job, regardless of how many SMS messages (initial request plus reminders) are sent to that customer within the same job cycle.

5.3 Exceeding your limit

If you approach or exceed your monthly job limit, we will notify you. We reserve the right to:

5.4 Abuse prevention

The Service is designed for small-to-medium trade businesses. Use of the Service that is inconsistent with normal business operations — including but not limited to automated bulk submissions, use by multiple businesses under a single account, or reselling access to third parties — may result in account suspension.

6. Google reviews disclaimer

6.1 No guarantee of review publication or retention

We do not guarantee that any Google review will be published, remain published, or not be removed by Google. Google independently moderates reviews on its platform according to its own policies, which may change at any time without notice.

6.2 Google's sole discretion

Google may, at its sole discretion, remove, filter, suppress, or otherwise modify the visibility of any review for any reason, including but not limited to:

We are not liable for any reviews that are removed, filtered, suppressed, or otherwise affected by Google's moderation. This includes reviews that were collected through the Service in full compliance with Google's policies at the time of collection.

6.4 Compliance is best-effort

We design the Service to comply with Google's published review policies as we understand them at the time. We actively monitor for policy changes and update the Service accordingly. However:

You remain solely responsible for your Google Business Profile and any content associated with it. You agree not to hold us responsible for any loss of reviews, changes in star rating, or any other impact on your Google Business Profile resulting from Google's actions.

8. AI-generated content

8.1 Draft replies

The Service uses artificial intelligence to generate draft replies to Google reviews. These drafts are suggestions only. You are solely responsible for reviewing, editing, and approving any content before posting it to Google.

8.2 No guarantee of quality

While we strive to generate helpful and appropriate draft replies, AI-generated content may occasionally be inaccurate, inappropriate, or not reflective of your intended message. You should always review drafts before posting.

8.3 Your responsibility

Once you post a reply to Google (whether AI-drafted or not), it becomes your content and your responsibility. We are not liable for any consequences arising from content you choose to post.

9. SMS communications

9.1 Your responsibility for customer data

You are responsible for ensuring you have appropriate consent to contact your customers via SMS. You must comply with all applicable Australian laws regarding electronic communications, including the Spam Act 2003 and the Privacy Act 1988.

9.2 Message content

SMS messages are sent on your behalf using your business name. While we provide the message templates, you are responsible for ensuring the content is accurate and appropriate for your customers.

9.3 Opt-out

Customers can opt out of receiving SMS messages at any time. We will honour all opt-out requests promptly.

10. Pricing and payment

10.1 Founding member pricing

Founding Member pricing is locked at the rate agreed at sign-up for as long as your subscription remains active and in good standing. If you cancel and later resubscribe, the current standard pricing will apply.

10.2 Billing

Subscription fees are billed monthly in advance. All prices are in Australian dollars (AUD) and are inclusive of GST where applicable.

10.3 Payment processing

Payments are processed through Stripe. By subscribing, you agree to Stripe's terms of service. We do not store your credit card details.

10.4 Failed payments

If a payment fails, we will notify you and attempt to process the payment again. If payment cannot be collected after 7 days, we may suspend your account until payment is received.

11. Cancellation and refunds

11.1 Cancellation

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.

11.2 Refunds

We do not offer refunds for partial billing periods. If you cancel mid-month, you will continue to have access until the end of your paid period.

11.3 Data after cancellation

After cancellation, your data will be retained for 30 days in case you wish to resubscribe. After 30 days, your data may be permanently deleted.

12. Limitation of liability

12.1 Service provided "as is"

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.2 Limitation of damages

To the maximum extent permitted by Australian law, our total liability to you for any claims arising out of or relating to the Service is limited to the total amount you have paid us in the three (3) months immediately preceding the event giving rise to the claim.

12.3 Exclusion of consequential damages

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.

You agree to indemnify and hold harmless TMH Group Australia Pty Ltd, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and your customers' personal information. By using the Service, you agree to our Privacy Policy.

15. Intellectual property

All intellectual property rights in the Service, including software, design, branding, and content (excluding your data and customer data), are owned by TMH Group Australia Pty Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription.

16. Suspension and termination

We may suspend or terminate your account if:

17. Dispute resolution

Any dispute arising from these Terms will be governed by the laws of Queensland, Australia. The parties agree to attempt to resolve disputes through good-faith negotiation before pursuing formal legal action. The courts of Queensland, Australia shall have exclusive jurisdiction.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

19. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and TMH Group Australia Pty Ltd regarding the Service.
